AFFILIATE TERMS & CONDITIONS
These Affiliate Terms and Conditions (“Agreement”) are made between REMIAST LTD, a company incorporated under the laws of England and Wales, with its registered office at 156a Burnt Oak Broadway, Edgware, Middlesex, United Kingdom, HA8 0AX (the “Company”), and any individual or entity (“Affiliate” or “Partner”) participating in the Company’s affiliate cooperation program (the “Affiliate Program”).

By joining, accessing, or otherwise engaging with the Affiliate Program through the Company’s website remiast.com, you acknowledge that you have reviewed, understood, and agree to comply with these Terms and Conditions, as updated from time to time.
1. PURPOSE OF THE AGREEMENT
This Agreement sets forth the overarching terms governing collaboration between the Company and the Affiliate for marketing, advertising, and referral activities performed within the Affiliate Program.

Any specific commercial conditions, remuneration models, or performance goals shall be separately defined in written Insertion Orders (IOs) signed by both Parties.

2. ACCEPTANCE OF TERMS  
By registering for or participating in the Affiliate Program, the Affiliate confirms acceptance of this Agreement and agrees to abide by its terms.

Those who do not agree to these Terms should refrain from participating in or promoting the Program.

3. RELATIONSHIP OF THE PARTIES 
3.1 The relationship between the Parties is that of independent contractors. Nothing herein shall create or be deemed to create a partnership, joint venture, employment, or agency relationship.

3.2 Neither Party shall represent or bind the other without express written consent.


3.3 Each Party shall bear its own operational costs unless otherwise agreed in writing through an IO.

4. ELIGIBILITY
The Affiliate Program is open to individuals aged 18 years and over, and to entities lawfully established under applicable laws.

The Company reserves the right to refuse, suspend, or terminate participation at its discretion.
5. AFFILIATE OBLIGATIONS 
5.1 The Affiliate shall perform all promotional activities in a responsible, lawful, and ethical manner, ensuring compliance with all applicable advertising and data protection regulations.

5.2 The Affiliate must not engage in deceptive, misleading, or fraudulent activities, or promote illegal or harmful content.


5.3 The Affiliate shall not misrepresent its relationship with the Company or act as its agent.


5.4 All marketing activity must comply with the UK Data Protection Act 2018, the UK General Data Protection Regulation (UK GDPR), and relevant advertising standards.

6. COMPANY OBLIGATIONS
6.1 The Company may provide approved promotional materials, creative assets, and branding guidelines to support the Affiliate’s marketing activities.

6.2 The Company reserves the right to modify, revoke, or request removal of any materials at its sole discretion.


6.3 The Company shall act in good faith to facilitate effective cooperation with Affiliates under each applicable IO.

7. INSERTION ORDERS
7.1 The specific commercial arrangements—such as compensation terms, duration, and performance criteria—shall be recorded in a mutually signed Insertion Order (IO).

7.2 Each IO shall constitute an integral part of this Agreement and, in case of conflict, its provisions shall prevail for that specific engagement.


7.3 No financial obligations shall arise until an IO has been duly executed by both Parties.

8. CONFIDENTIALITY
8.1 Both Parties agree to maintain the confidentiality of all non-public information disclosed in the course of this Agreement.

8.2 Confidential information includes, but is not limited to, business strategies, financial data, proprietary technologies, and marketing plans.


8.3 These obligations survive the termination of this Agreement.
9. INTELLECTUAL PROPERTY
9.1 All intellectual property rights, including trademarks, logos, trade names, and creative content provided by the Company, remain its exclusive property.

9.2 The Affiliate shall not register, imitate, or use any marks, domains, or materials resembling those of the Company without written authorization.
10. LIABILITY
Each Party shall be responsible for fulfilling its obligations under applicable law and, where relevant, as stipulated in the corresponding Insertion Order (IO).

Each Party shall bear liability for any damages or losses resulting from its own actions or omissions, subject to the conditions and limitations (if any) set out in the relevant IO.
11. DATA PROTECTION AND PRIVACY  
11.1 Both Parties shall adhere to all applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.

11.2 The Affiliate shall not collect, store, or process personal data on behalf of the Company unless explicitly authorized and in accordance with written instructions.


11.3 Any personal data handled in connection with the Affiliate Program shall be managed in line with the Company’s Privacy Policy, available on the website remiast.com.

12. AMENDMENTS
12.1 The Company reserves the right to revise these Terms & Conditions at any time.

12.2 Updates will take effect upon publication of the revised Terms on the website.


12.3 Continued participation in the Program constitutes acceptance of any changes.
13. TERM AND TERMINATION  
13.1 This Agreement remains effective until terminated by either Party with thirty (30) days’ written notice, unless otherwise specified in an IO.

13.2 The Company may terminate immediately in the event of breach, unlawful conduct, or unethical behaviour by the Affiliate.


13.3 Upon termination, the Affiliate must promptly remove all Company-related materials and cease use of intellectual property.

14. GOVERNING LAW AND DISPUTE RESOLUTION  
This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.

Any dispute arising from or related to this Agreement shall be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA), with proceedings conducted in English before a sole arbitrator.
15. MISCELLANEOUS
15.1 This Agreement, together with any applicable IOs, constitutes the entire understanding between the Parties and supersedes all prior arrangements or discussions.

15.2 If any provision is found invalid, the remaining provisions shall remain enforceable.


15.3 Neither Party may assign this Agreement without the other’s written consent, except to a successor entity or affiliate.


15.4 Notices may be sent electronically to the contact details provided in the Affiliate’s registration or applicable IO.


15.5 The English language version of this Agreement shall prevail in case of discrepancies.
